PLEASE READ THESE TERMS CAREFULLY. THEY GOVERN YOUR ACCESS TO AND USE OF THE MARKETING FINANCE NETWORK WEBSITE, MEMBERSHIP SERVICES AND RELATED SERVICES, AND THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

These Terms of Use (also called our Terms and Conditions, or “Terms”) are an agreement between you (“you,” “your” or “Member”) and Freedom Ventures Group Inc., doing business as Marketing Finance Network (“MFN,” “Company,” “we,” “our” or “us”). They govern your use of marketingfinancenetwork.com (the “Site”) and MFN’s membership, network and related services (together with the Site, the “Services”).

By accessing or using the Site, submitting an application, joining the waitlist, applying for, purchasing or maintaining a membership, or otherwise using the Services, you confirm that you have read, understood and agree to these Terms, our Privacy Policy and any other applicable MFN policies or agreements. If you do not agree, do not use the Site or the Services.

Membership is also governed by the MFN Membership Agreement. If these Terms conflict with a Membership Agreement on a membership-specific matter, the Membership Agreement controls (see Section 26).

1. About Marketing Finance Network

MFN is a private, invitation-only business membership and introductions network for established U.S. businesses. MFN’s Services consist of:

access to the private MFN network;
an initial call so MFN can learn about your business and identify which institutions may be relevant to it;
introductions, when appropriate, to one or more independent financial institutions, capital providers and other business relationships (“Network Partners”) that may be able to help; and
membership and account support.

MFN’s role is limited to making introductions. MFN does not prepare, review, complete or submit financing applications or documents, advise you on how to qualify for or structure financing, or take part in discussions between you and a Network Partner after an introduction. Whether a Network Partner can help, and on what terms, is up to that Network Partner and depends on your business’s specific circumstances.

Any separate business dealings between Freedom Ventures Group Inc., its affiliates or its owners and a member are covered by their own agreements and are not part of the Services.

MFN decides membership eligibility and may accept, decline, suspend or discontinue a membership as permitted by these Terms, the applicable Membership Agreement and applicable law.

2. Eligibility and Business Audience

The Services are intended for established businesses, business owners, executives and other authorized business representatives. You must be at least 18 years old and use the Site and Services for business purposes only. Membership is limited to businesses incorporated and operating in the United States.

MFN is not marketed or offered as a consumer lending product, consumer credit service, investment opportunity, employment opportunity, franchise or business-opportunity program.

If you apply for or purchase a membership for a business, you represent that you are authorized to provide the information you submit and, where applicable, to act on that business’s behalf.

3. Invitations, Accounts and Access

Access to certain Services requires a valid Invite Code and a completed application. Receiving an Invite Code does not guarantee acceptance as a member, continued membership, or any of the outcomes described in Section 7. MFN may set and change reasonable eligibility requirements for the network.

If you receive an invitation link, Invite Code, account access or certificate link, keep it secure and do not share it. You are responsible for all activity that takes place under your access. Notify us right away if you believe your access has been compromised.

4. Membership Services

A paid membership gives you access to MFN’s membership and network services as described when you enroll. The Services are private network access, an initial call, introductions to Network Partners and membership and account support, as described in Section 1.

The specific Services, price, billing cadence, renewal terms and other membership conditions are disclosed at checkout or in the applicable Membership Agreement. A membership is not the purchase of a loan, extension of credit, investment, financing approval or financial product.

5. No Lending or Financial Institution Role

MFN is not a lender, creditor, bank, underwriter, funder, loan servicer, investment adviser, broker-dealer or financial institution. Nothing on the Site or in the Services is an offer of credit or financing.

MFN does not:

originate or issue loans, extend credit or determine credit limits;
underwrite financing or set financing eligibility, underwriting criteria, interest rates or financing terms;
approve or deny financing;
disburse, hold or receive financing proceeds for members;
service loans or collect loan repayments;
prepare, review or submit financing applications or documents, or advise members on how to qualify for or structure financing;
make investment decisions for members; or
guarantee financing, funding, investment or approval.

MFN’s role is limited to membership and introductions.

6. Independent Network Partners

MFN may introduce members to Network Partners, which may include financial institutions, lenders, capital providers, family offices, factoring and receivables-finance providers, investors, buyers and other strategic business relationships. Unless MFN states otherwise in writing, Network Partners are independent from MFN.

Each Network Partner is solely responsible for its own eligibility requirements, evaluation and due diligence, underwriting criteria, risk assessment, pricing, rates and terms, products and services, approval or denial decisions, contracts, privacy and data-processing practices, and performance of its obligations.

An introduction is a business connection only. It is not an approval, endorsement, underwriting decision or guarantee of any transaction. Any resulting agreement or transaction is entered into directly between you and the Network Partner. You are responsible for your own due diligence and for reviewing the terms of any Network Partner relationship or agreement before entering into it.

7. No Guaranteed Outcomes

MFN does not guarantee that membership, an Invite Code or an introduction will result in any particular introduction, financing or funding, financing approval, investment, acquisition, purchase or sale of a business, completed transaction, increased revenue or profitability, business growth, improved valuation, or any other specific business or financial outcome.

Network Partners may decline to engage with a member for any lawful reason. Experiences or outcomes of other members do not guarantee future results.

8. No Professional Advice

Information, discussions, introductions, materials and other communications provided through MFN are for informational and introduction purposes only. MFN does not provide legal, tax, accounting, investment or individualized financial advice. You should get appropriate independent professional advice before entering into any material transaction or agreement.

9. Membership Fees and Payment Processing

You are responsible for paying the membership fees disclosed at checkout. MFN uses Stripe or other authorized payment processors to process membership payments. Payments made through MFN’s checkout are for MFN membership and network services only.

A membership payment is not a loan origination fee, interest, finance charge, underwriting or credit-approval fee, loan repayment, investment contribution, deposit toward financing, financing proceeds, or a payment made on behalf of a Network Partner or other third party. MFN does not use its membership checkout to receive or distribute financing proceeds, collect loan repayments or process investment funds for Network Partners or other third parties.

10. Billing, Renewal, Cancellation and Refunds

Membership pricing, billing cadence, renewal terms and cancellation conditions are disclosed at checkout or in the applicable Membership Agreement. By purchasing a membership, you authorize MFN and its payment processor to charge your payment method according to the billing terms presented to you. If a membership renews automatically, the renewal terms will be disclosed as required by law.

Cancellation and refund requests are governed by MFN’s Refund and Cancellation Policy and the applicable Membership Agreement.

11. Member Responsibilities

You agree to:

provide and keep up to date accurate, current and complete contact and business information;
use MFN and the network only for lawful business purposes;
act professionally with MFN, other members and Network Partners;
do your own due diligence and independently review contracts and transaction documents before entering into third-party relationships;
protect confidential or non-public information you receive through MFN; and
comply with applicable laws, these Terms and any applicable Membership Agreement.

You are solely responsible for your decisions about whether to pursue or enter into any relationship, agreement, investment, financing arrangement or other transaction with a Network Partner.

12. Acceptable Use

You may not use the Site, membership, network or Services to:

engage in unlawful, fraudulent, deceptive, abusive or harmful activity;
submit materially false or misleading information, or impersonate another person or business;
use another person’s Invite Code or invitation link, or share your own;
attempt to gain unauthorized access to the Site or to another member’s information or account;
scrape, harvest, copy or systematically collect content, member information or Network Partner information, including by using bots, crawlers or other automated tools;
solicit members where MFN prohibits it;
sell, disclose, distribute or misuse confidential member or network information;
circumvent access controls or security measures, introduce malware or other harmful code, or interfere with the operation or security of the Site or network;
misrepresent an affiliation with or endorsement by MFN, or use MFN’s name, branding or content without authorization; or
violate these Terms, another MFN agreement or applicable law.

MFN may investigate suspected violations and take appropriate action, including under Section 19.

13. Confidentiality and Network Information

Some information available through MFN may be confidential, proprietary, private or intended only for authorized members. You may not disclose or misuse confidential information obtained through MFN unless the information’s owner authorizes it, it is needed for an authorized business interaction, or the law requires it. Membership does not give you a right to information about other members or relationships in the network beyond what MFN or the relevant party chooses to disclose.

14. Certificates of Good Standing

A Certificate of Good Standing shown on the Site confirms only a member’s MFN membership status on the date it is viewed. It is not a credit rating, endorsement or guarantee. A certificate may not be altered, or presented as valid after it expires or is revoked.

15. Intellectual Property

The Site and Services, including the MFN name, trademarks, logos, text, graphics, designs, software, documentation, databases and network materials, are owned by or licensed to MFN. Subject to these Terms, MFN grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site and applicable Services for their intended business purpose.

Except as expressly permitted, you may not copy, reproduce, modify, republish, distribute, sell, license, create derivative works from, commercially exploit, or misrepresent ownership of MFN’s content without MFN’s prior written permission. No ownership rights are transferred to you through your use of the Site or membership.

16. Third-Party Websites and Services

The Site and Services may link to or use third-party websites, platforms and services, such as scheduling, e-signature, video meeting and payment providers. MFN does not control and is not responsible for their content, policies, security, privacy practices, availability, products, services or business practices. Your interactions and transactions with third parties are between you and that third party, and you should review their terms and privacy policies before using their services.

17. Communications

By giving MFN your contact information, you agree that MFN may send you operational and administrative messages about your application, waitlist or invitation status, membership, payments, account administration, meetings, introductions you request or accept, member support, security, changes to the Services and other matters concerning your relationship with MFN.

Marketing calls, text messages and other promotional messages are sent only in line with applicable consent requirements and the disclosures shown when consent is requested. Consent to receive marketing calls or texts is not a condition of purchasing a membership. You can opt out of texts by replying STOP. Our Privacy Policy explains more about how we collect and use contact information.

18. Privacy

Your use of the Site and Services is also subject to the MFN Privacy Policy, which explains how MFN collects, uses, shares, retains and protects personal information and describes privacy rights that may apply to you.

19. Suspension and Termination

MFN may suspend, restrict or terminate access to the Site, network or membership where reasonably necessary because of:

material breach of these Terms or another applicable agreement;
fraud or suspected fraud, unlawful activity or misuse of the network;
nonpayment;
unauthorized disclosure or misuse of confidential information;
security threats;
material misrepresentation; or
conduct that creates material risk to MFN, its network, its members or third parties.

Treatment of prepaid membership fees after termination is governed by the applicable Membership Agreement, the Refund and Cancellation Policy and applicable law. Sections of these Terms that by their nature should survive termination will remain in effect after termination.

20. Site Availability

MFN may modify, suspend, restrict, discontinue or update parts of the Site or Services from time to time. MFN does not guarantee that the Site or Services will always be uninterrupted, error-free, secure or available. Maintenance, security events, third-party service interruptions, technical failures or other circumstances may temporarily affect availability.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, MEMBERSHIP, NETWORK, CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

MFN MAKES NO WARRANTY THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE, OR THAT MEMBERSHIP WILL RESULT IN ANY PARTICULAR BUSINESS, FINANCIAL, INVESTMENT OR TRANSACTIONAL OUTCOME. MFN DOES NOT WARRANT OR GUARANTEE THE PRODUCTS, SERVICES, REPRESENTATIONS, PERFORMANCE, FINANCIAL CONDITION OR CONDUCT OF ANY NETWORK PARTNER OR OTHER THIRD PARTY.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MFN AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, MEMBERSHIP, NETWORK OR SERVICES, OR ANY RELATIONSHIP WITH A NETWORK PARTNER.

MFN IS NOT RESPONSIBLE FOR THE INDEPENDENT DECISIONS, PRODUCTS, SERVICES, TERMS, APPROVALS, DENIALS, PERFORMANCE, ACTS OR OMISSIONS OF NETWORK PARTNERS OR OTHER THIRD PARTIES INTRODUCED THROUGH OR CONNECTED WITH THE NETWORK.

MFN’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100), EXCEPT AS OTHERWISE PROVIDED IN AN APPLICABLE MEMBERSHIP AGREEMENT. THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

23. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless MFN and its owners, officers, directors, employees, representatives, contractors and agents from claims, liabilities, damages, losses, costs and reasonable expenses arising from or related to:

your misuse of the Site or Services, or your breach of these Terms;
your unlawful or unauthorized use of the Site, network or Services;
information or materials you provide through MFN;
your violation of another person’s or entity’s rights; or
your independent dealings or agreements with Network Partners or other third parties,

except to the extent a claim results from MFN’s own conduct for which liability cannot lawfully be excluded.

24. Governing Law and Dispute Resolution

Governing law. These Terms, and any dispute arising out of or relating to them, the Site, the Services or the MFN Privacy Policy, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms, the Site, the Services or the MFN Privacy Policy, including questions about their formation, interpretation, breach or termination, will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where applicable, its Optional Rules for Emergency Measures of Protection.

Location and arbitrator. The arbitration will take place in Wilmington, Delaware, before a single arbitrator. You and MFN consent to personal jurisdiction in Delaware for this purpose.

Award. The arbitrator’s decision will be final and binding, and judgment on the award may be entered and enforced in any court of competent jurisdiction. The prevailing party is entitled to recover its reasonable attorneys’ fees and costs.

Confidentiality. The arbitration, and all filings, evidence and awards in it, will be kept confidential except as required by law or to enforce an award.

Individual claims only. You must bring any claim in your individual capacity, and not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not consolidate claims of more than one party or preside over any form of class or representative proceeding.

Courts. Any court action permitted under these Terms, including an action to compel arbitration or to confirm, enforce or vacate an award, will be brought only in the state courts located in New Castle County, Delaware (Wilmington), or the United States District Court for the District of Delaware in Wilmington, and you and MFN consent to the jurisdiction and venue of those courts.

Jury-trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MFN EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, THE SERVICES OR THE MFN PRIVACY POLICY. This waiver applies to any claim that is heard in court rather than in arbitration for any reason.

25. Changes to These Terms

MFN may update these Terms from time to time, going forward, to reflect changes in its Services, business practices, technology, legal requirements or other operational needs. We will post the new version on the Site with its updated date and, where required by law, communicate material changes through the Site, by email or by other appropriate means. Your continued use of the Site or Services after updated Terms take effect means you accept them, to the extent permitted by law.

26. Additional Agreements

Certain Services may be subject to additional agreements, policies, disclosures or terms, including the Membership Agreement, Privacy Policy, Financial Services Disclaimer, Refund and Cancellation Policy, and checkout and billing disclosures. If these Terms conflict with a separately executed Membership Agreement on a membership-specific matter, the Membership Agreement controls on that matter unless it expressly states otherwise.

27. Severability

If any provision of these Terms is found unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will stay in effect.

28. No Waiver

MFN’s failure to enforce any provision of these Terms is not a waiver of that provision or of MFN’s right to enforce it later.

29. Entire Agreement

These Terms, together with the applicable Membership Agreement, Privacy Policy, Financial Services Disclaimer, Refund and Cancellation Policy, checkout disclosures and any other expressly incorporated terms, are the entire agreement concerning your use of the Site and Services.
